1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NewsUSA Inc. ("NewsUSA," "we," "us," or "our"), a Virginia corporation located at 1104 West Broad St. #1024, Falls Church, VA 22046.
By accessing or using the website at newsusa.ai (the "Site") or the NewsUSA AI Authority Audit™ service (the "Service"), you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree to these Terms, do not use the Site or Service.

2. Description of the Service
NewsUSA provides AI visibility measurement, editorial placement strategy, and the FREE AI Authority Audit™, including:
- A personalized 12-page AI Authority Audit report prepared for your brand and category
- Multi-model visibility scoring across seven weighted dimensions
- Competitor benchmarks, probe evidence, and prioritized action plans
- A strategy call with Todd Simon to walk through your deliverable
- Optional media placement and content syndication programs through NewsUSA.com
You request your FREE AI Authority Audit through the lead form at newsusa.ai/schedule. There is no instant on-site score. We prepare your report for review on a strategy call. Paid placement and ongoing programs are scoped separately with our team.
3. Use of the Service
3.1 Permitted Use
You may use the Service to:
- Request your FREE AI Authority Audit through our lead form
- Participate in a strategy call to review your personalized report
- View sample report previews published on the Site for illustrative purposes
- Use insights from your audit to improve your own brand visibility or that of a client you represent
3.2 Prohibited Use
You may not use the Service to:
- Submit false, misleading, or unauthorized lead information on behalf of another person or organization
- Automate form submissions to circumvent rate limits or abuse the lead capture system
- Use the Service to collect competitive intelligence on third-party businesses in a manner that violates applicable law
- Attempt to reverse-engineer, decompile, or extract the scoring algorithm or proprietary methodology
- Scrape, crawl, or systematically extract data from the Site without our express written permission
- Transmit malicious code, interfere with Service infrastructure, or attempt unauthorized access to any system
- Impersonate another person or entity or misrepresent your affiliation with any person or entity
- Use the Service for any purpose that is illegal under applicable federal, state, or local law
- Resell or sublicense access to the Service without a written reseller agreement with NewsUSA
We reserve the right to suspend or terminate access for any user who violates these prohibitions, with or without notice.
3.3 Rate Limits and Fair Use
The lead form and related APIs are subject to rate limits to ensure fair access and prevent abuse:
- Maximum lead form submissions per IP address as enforced by our infrastructure
- Duplicate or excessive submissions from the same email address may be declined or merged
Excessive use that degrades the Service for others may result in temporary or permanent suspension of access without refund.
4. Account and Lead Information
When you submit your contact information and goals through our lead form at /schedule, you:
- Confirm the information is accurate and belongs to you or your organization
- Consent to NewsUSA using that information as described in our Privacy Policy
- Acknowledge that your submission constitutes a lead record and that NewsUSA's team may contact you to schedule your strategy call and discuss media programs
- Agree to receive transactional communications related to your audit request
You may opt out of sales communications at any time by emailing rsmith@newsusa.com with "Unsubscribe" in the subject line.
5. Intellectual Property
5.1 NewsUSA's Intellectual Property
The Site and Service, including but not limited to the scoring algorithm, methodology, software, design, text, graphics, reports, and branding (collectively, "NewsUSA IP"), are owned by NewsUSA Inc. and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.
"NewsUSA," "NewsUSA Authority Audit," "AI Authority Audit™," and the NewsUSA N★ brandmark are trademarks of NewsUSA Inc. You may not use these marks without our prior written consent.
You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any NewsUSA IP without our express written permission, except as expressly permitted in these Terms.
5.2 Your Content
You retain ownership of your brand materials and public web presence. To prepare your audit, you grant NewsUSA a limited, non-exclusive, royalty-free license to research, analyze, and process publicly available information about your brand and category solely for the purpose of delivering the Service to you.
5.3 Report License
Upon delivery of your FREE AI Authority Audit or paid Authority Audit™ report, NewsUSA grants you a limited, non-exclusive, non-transferable license to:
- Use the report for your own internal business purposes
- Share the report with your employees, contractors, or clients you directly serve
- Reference report findings in your own marketing or business materials, with attribution to NewsUSA
You may not resell, republish, or distribute report content as a standalone product or service.
5.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant NewsUSA a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service, without any obligation to compensate you.
6. Disclaimers and Limitations
6.1 No Guarantee of Results
The AI Visibility Score and Authority Audit™ report are provided for informational purposes only. NewsUSA does not guarantee:
- Any specific improvement in AI model citations, search rankings, or brand visibility resulting from following our recommendations
- That the scoring results accurately reflect how your brand currently appears across all AI platforms at any given moment, as AI model behavior changes continuously
- That any content campaigns or media placements sold separately will achieve specific citation, traffic, or revenue outcomes
Results shown in demonstrations (including the 38 → 91 before/after example) represent historical data from a specific optimized case and are not a guarantee of the same outcome for your website.
6.2 Service Availability
The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free, or timely availability of the Site or Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
Crawling results may be incomplete or inaccurate for:
- Websites that block automated crawlers
- Pages requiring authentication to access
- Pages with JavaScript-only rendered content that our crawler cannot process
- Pages with bot detection systems (Cloudflare challenges, CAPTCHAs, etc.)
In these cases, we will provide a graceful error message and will not capture or store a lead from a failed analysis.
6.3 Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEWSUSA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (D) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
6.4 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEWSUSA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF NEWSUSA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL NEWSUSA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO NEWSUSA IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
7. Indemnification
You agree to indemnify, defend, and hold harmless NewsUSA and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Site or Service
- Your violation of these Terms
- Your violation of any third party's rights, including intellectual property or privacy rights
- Any content or URLs you submit through the Service
- Your misrepresentation of any information provided to NewsUSA
8. Third-Party Services
The Service integrates with third-party services including AI model providers, database hosts, email delivery services, and cloud infrastructure providers. Your use of the Service is subject to the terms and policies of those third-party providers. NewsUSA is not responsible for the availability, accuracy, or content of third-party services.
Links to third-party websites on our Site are provided for convenience only. NewsUSA does not endorse, and is not responsible for, any third-party websites or their content.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.
Informal Resolution: Before initiating any formal dispute, you agree to contact us at rsmith@newsusa.com and give us 30 days to attempt to resolve the issue informally.
Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Falls Church, Virginia. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION. You waive any right to bring or participate in a class action lawsuit or class-wide arbitration against NewsUSA.
Exceptions: Either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm, without waiving the right to arbitration.
10. Termination
NewsUSA may, at its sole discretion, suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms, with or without prior notice.
Upon termination:
- Your right to use the Service ceases immediately
- We may delete your data in accordance with our Privacy Policy and data retention schedule
- Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) shall continue to apply
11. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NewsUSA regarding the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. NewsUSA may freely assign these Terms without restriction.
Force Majeure: NewsUSA shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, internet outages, power failures, government actions, or third-party service failures.
Updates to Terms: We reserve the right to modify these Terms at any time. Material changes will be announced via email or prominent Site notice. Your continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.

Is the FREE AI Authority Audit really free?
Yes. There is no charge and no credit card required to request the audit or the follow-up strategy call. These Terms govern acceptable use of the Site and Service once you engage with it; they do not introduce any hidden fee for the audit itself.
What happens if NewsUSA updates these Terms?
Material changes are announced by email or a prominent Site notice, and the effective date at the top of this page is updated. Continuing to use the Service after that date counts as acceptance of the revised Terms, as described in the Updates to Terms section above.
